Welcome to StayOps.
StayOps is a property management and hospitality operations platform operated by StayOps Technologies Ltd.(“StayOps”, “we”, “us”, or “our”).
These Terms of Service (“Terms”) govern your access to and use of the StayOps platform, website, applications, tools, integrations, and related services (collectively, the “StayOps Platform”).
By creating an account, subscribing to a StayOps plan, accessing the StayOps Platform, or otherwise using our services, you (“Customer”, “User”, or “you”) agree to these Terms.
If you are using StayOps on behalf of a company or other business, you represent that you have authority to accept these Terms on behalf of that business.
StayOps provides software designed to help short-term rental hosts, property managers, serviced apartment operators, and other hospitality businesses manage their properties and operations.
Depending on your subscription plan and the features available to your account, StayOps may provide functionality including:
Property and listing management
Reservation and booking management
Availability and calendar management
Direct booking tools
Guest management
Revenue and expense tracking
Financial reporting
Owner statements and payout records
Caution or security deposit tracking
Cleaning and operational task management
Property inspections and checklists
Maintenance and vendor records
Staff and team management
Guest communication templates
Operational logs
Reports, dashboards, and business analytics
Integrations with third-party booking channels, payment providers, and other services
Features may vary depending on your subscription plan and may be added, modified, or discontinued as the Platform develops.
Customers must create an account to access certain StayOps services.
You are responsible for providing accurate and current account information and keeping your login credentials secure.
The primary account holder or administrator may be able to create additional users and assign roles or permissions to employees, cleaners, managers, accountants, property owners, or other authorized team members.
You are responsible for the activity of users you authorize to access your StayOps account.
You must promptly notify StayOps if you believe your account has been accessed without authorization.
You are responsible for the properties, listings, rates, availability, policies, photographs, descriptions, guest information, financial information, and other information entered into or transmitted through your StayOps account.
You represent that you have the necessary authority to manage any property you add to StayOps and to provide the information associated with that property.
StayOps does not independently verify the ownership, condition, legality, licensing, safety, or regulatory status of properties managed through the Platform.
You are responsible for ensuring that your properties and rental activities comply with applicable laws and regulations.
StayOps may allow Customers to connect their accounts with third-party booking platforms, marketplaces, payment providers, software applications, or other external services (“Third-Party Services”).
Where an integration is available, StayOps may receive, transmit, synchronize, or display information such as:
Property information
Availability
Reservations
Guest information
Booking status
Rates
Payments
Fees
Cancellations
Other booking-related information
The availability and functionality of an integration may depend on the third-party provider.
Third-Party Services operate independently of StayOps and are governed by their own terms, policies, technical requirements, and availability.
StayOps is not responsible for outages, errors, delays, API changes, incorrect information, discontinued services, or other failures originating from a Third-Party Service.
Customers remain responsible for maintaining their accounts and complying with the terms and requirements of any Third-Party Services they use.
Where enabled, StayOps may provide Customers with tools that allow guests to make reservations directly with the Customer.
StayOps provides the technology facilitating the booking process but is not the accommodation provider.
The Customer remains responsible for:
Setting accommodation rates
Establishing booking and cancellation policies
Establishing house rules
Confirming property availability
Providing accurate property information
Communicating with guests
Providing the accommodation
Handling guest complaints and disputes
Processing refunds where applicable
Maintaining the property
Complying with applicable hospitality and rental regulations
Any accommodation agreement is between the Customer and the guest.
StayOps is not a party to the stay or rental agreement between the Customer and the guest.
StayOps may integrate with third-party payment processors to allow Customers to collect payments or pay subscription fees.
Payment processing services are provided by the applicable payment provider and may be subject to that provider's own terms, fees, policies, and processing requirements.
StayOps does not control the operations of independent payment processors and is not responsible for outages, declined transactions, chargebacks, processing delays, or other issues caused by a payment provider.
Customers are responsible for ensuring that payment and settlement information associated with their accounts is accurate.
Access to certain StayOps features requires a paid subscription.
Subscription pricing may depend on factors such as the selected plan, number of properties or units, features included, or other applicable subscription criteria.
Current subscription prices and plan features will be displayed on the StayOps website or within the Platform.
Unless otherwise stated at the time of purchase, subscriptions are billed according to the billing cycle selected by the Customer.
By subscribing, you authorize StayOps and its payment provider to charge the applicable subscription fees using your selected payment method.
StayOps may change subscription plans, features, or pricing from time to time.
Where a pricing change affects an existing paid subscription, we will provide reasonable notice before the new pricing takes effect.
Applicable taxes may be added where required by law.
Customers are responsible for keeping their subscription payments current.
If a subscription payment cannot be processed or remains unpaid, StayOps may restrict or suspend access to paid features until the outstanding payment has been resolved.
Where reasonably possible, StayOps will provide notice before suspending an account for non-payment.
Customers may cancel their StayOps subscription in accordance with the cancellation options available within their account or by contacting StayOps support.
Cancellation stops future subscription renewals but does not automatically entitle the Customer to a refund for subscription periods already paid for, except where required by applicable law or expressly provided by StayOps.
Customers should export any information they wish to retain before closing their account.
StayOps provides tools that may help Customers record and analyze revenue, expenses, commissions, fees, payouts, deposits, property performance, and other financial information.
The accuracy of these reports depends on the information entered by the Customer and information received from connected Third-Party Services.
StayOps is not an accounting, tax, investment, or financial advisory service.
Reports and calculations generated through the Platform are intended to assist Customers with business operations and should not replace professional accounting, tax, or financial advice where such advice is required.
Customers remain responsible for verifying their financial records and complying with applicable accounting and tax requirements.
StayOps may allow Customers to assign operational tasks, cleaning activities, inspections, maintenance work, or other responsibilities to staff members, contractors, cleaners, vendors, or other persons.
StayOps provides tools for organizing and recording these activities but does not employ, supervise, screen, or guarantee the performance of the persons assigned by the Customer.
The Customer remains responsible for selecting, managing, compensating, and supervising its staff, contractors, cleaners, vendors, and other service providers.
StayOps may provide tools for recording or tracking guest payments, caution fees, security deposits, deductions, refunds, or similar transactions.
Unless StayOps expressly provides a separate service for holding such funds, StayOps does not hold these funds on behalf of Customers or guests.
Customers are responsible for establishing and administering their own deposit, damage, deduction, and refund policies in compliance with applicable law.
Customers may provide StayOps with information relating to their properties, business operations, employees, owners, vendors, guests, reservations, and finances.
Customers retain ownership of the information they provide to StayOps.
By using the Platform, Customers authorize StayOps to process this information as reasonably necessary to:
Provide the StayOps services
Operate the Platform
Process reservations
Generate reports
Support integrations
Provide customer support
Maintain security
Improve Platform functionality
Customers are responsible for ensuring that they have the legal authority and any necessary consent to collect, store, use, and provide personal information through StayOps.
StayOps will handle personal information in accordance with its Privacy Policy and applicable data protection requirements.
You may not use StayOps to:
Violate any applicable law or regulation
Engage in fraudulent or deceptive activity
Infringe another person's intellectual property or privacy rights
Upload malicious software, viruses, or harmful code
Attempt to gain unauthorized access to StayOps systems
Interfere with the operation or security of the Platform
Circumvent security or access restrictions
Scrape or systematically extract Platform data without authorization
Reverse engineer or attempt to reproduce proprietary elements of the Platform except where permitted by law
Use StayOps to develop or operate a substantially similar competing service using StayOps' proprietary technology or confidential information
Misrepresent your identity or your relationship with StayOps
StayOps may suspend or terminate accounts that we reasonably believe are being used unlawfully, fraudulently, or in material violation of these Terms.
The StayOps Platform, including its software, design, functionality, branding, trademarks, logos, graphics, interfaces, databases, documentation, and proprietary technology, is owned by or licensed to StayOps Technologies Ltd. and is protected by applicable intellectual property laws.
Your subscription gives you a limited, non-exclusive, non-transferable right to use StayOps for your internal business operations while your account remains active.
Purchasing a subscription does not transfer ownership of StayOps software or intellectual property to you.
You retain ownership of the property information, photographs, business information, guest information, and other content you lawfully provide through your account.
We work to keep StayOps available and operating reliably, but uninterrupted access cannot be guaranteed.
From time to time, StayOps may perform maintenance, upgrades, security updates, or other technical work that temporarily affects Platform availability.
StayOps may also modify, improve, replace, add, or remove Platform functionality as the service evolves.
Where reasonably possible, we will provide advance notice of scheduled maintenance that is expected to materially affect Platform availability.
StayOps may provide technical support through the support channels made available to Customers.
We will make reasonable efforts to investigate and resolve reported Platform issues but cannot guarantee a specific resolution time unless a separate service-level commitment has been expressly agreed with the Customer.
StayOps is a software and technology provider.
StayOps does not become the property manager, landlord, accommodation provider, real estate agent, travel agent, cleaner, maintenance provider, or representative of a Customer merely because the Customer uses the Platform.
Customers remain responsible for operating and managing their properties.
StayOps does not guarantee:
A particular level of occupancy
A specific number of reservations
Increased revenue
Increased profitability
Guest behavior
Property condition
Payment by guests
Performance by employees, cleaners, contractors, or vendors
Any particular business outcome resulting from use of the Platform
Customers remain responsible for the condition, safety, maintenance, insurance, licensing, operation, and legal compliance of their properties.
StayOps is not responsible for the conduct of guests, property owners, employees, cleaners, vendors, agents, contractors, booking platforms, payment providers, or other independent third parties.
Any dispute between a Customer and such third party remains primarily between those parties.
Nothing in these Terms prevents StayOps from assisting with technical information relating to activity recorded through the Platform where appropriate.
To the extent permitted by applicable law, the StayOps Platform is provided on an “as available” basis.
While StayOps works to maintain the reliability, security, and accuracy of the Platform, we cannot guarantee that the Platform will always operate without interruption, delay, technical error, or third-party service disruption.
Information generated by StayOps may depend on information supplied by Customers or Third-Party Services. Customers should verify information that is material to their business decisions.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
To the maximum extent permitted by applicable law, StayOps Technologies Ltd. will not be liable for indirect, incidental, special, punitive, or consequential losses arising from use of or inability to use the Platform, including loss of profits, revenue, bookings, business opportunities, or data, where such losses were not directly caused by StayOps' unlawful conduct.
StayOps will not be responsible for losses resulting from:
Incorrect information supplied by a Customer
Actions of guests or Customer personnel
Third-Party Services
Payment processor failures
Internet or telecommunications failures
Unauthorized account access resulting from a Customer's failure to secure its credentials
Customer violations of applicable laws or regulations
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
StayOps may suspend or terminate access to the Platform where reasonably necessary because of:
Material violation of these Terms
Fraudulent or unlawful activity
Security threats
Abuse of the Platform
Persistent failure to pay applicable subscription fees
Conduct that materially threatens StayOps, its Customers, users, systems, or third parties
Where appropriate and legally permissible, StayOps will provide notice and an opportunity to resolve the issue before permanent termination.
Customers remain responsible for amounts properly due before termination.
StayOps may update these Terms as the Platform, our services, or applicable legal requirements change.
The latest version will be made available through the StayOps website or Platform.
Where a change materially affects Customers' rights or obligations, StayOps will make reasonable efforts to provide advance notice.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.
These Terms and any dispute relating to the StayOps Platform will be governed by the laws of the Federal Republic of Nigeria, unless applicable law requires otherwise.
The parties should first attempt in good faith to resolve any dispute arising from these Terms through direct communication.
If a dispute cannot be resolved amicably, it may be submitted to the courts or other dispute-resolution process having appropriate jurisdiction under Nigerian law.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
Failure by StayOps to enforce a provision of these Terms does not constitute a waiver of that provision or any other rights.
These Terms, together with the StayOps Privacy Policy and any additional agreement expressly entered into between StayOps and a Customer, constitute the agreement governing the Customer's use of the Platform.
If a separate written agreement between StayOps and a Customer conflicts with these Terms, the terms of that written agreement will prevail to the extent of the conflict.
